Intel Corp. (INTC August 11, 2026, $96.75 Pre-market)
Intel Corporation (NASDAQ: INTC) said On Monday evening it had raised its planned stock offering to $20 billion from $15 billion, tapping a strong share rebound to fund expanded manufacturing capacity.
The company priced an underwritten public offering of 210,526,315 common shares at $95 each and gave underwriters a 30-day option to buy up to 31,578,947 additional shares at the offering price minus underwriting discounts. The deal was upsized to $20 billion from the previously announced $15 billion and is expected to close on August 12, 2026, subject to customary closing conditions.
JPMorgan Securities, Goldman Sachs, Morgan Stanley, and Citigroup Global Markets are serving as joint book‑running managers.
Key highlights:
- Intel said the stock offering will be priced at $95 a share, a 6.5% discount to Friday's close before the offering was disclosed.
- The company is offering 210.5 million common shares and granted underwriters a 30-day option to buy up to 31.6 million additional shares.
- Formerly a dominant global chipmaker, Intel is pouring investment into new fabrication plants and advanced packaging to compete with leaders like TSMC) in contract semiconductor manufacturing.
- INTC shares were down roughly 1% in premarket trading at 4:58 a.m. ET on Tuesday, after finishing Monday down about 4%.
- Intel's disclosure came just hours after Bloomberg reported the chipmaker intended to increase the offering.
- Several analysts say Intel's rallying share price has raised the likelihood of an equity raise to help finance its expansion plans.
- Russ Mould, investment director at AJ Bell, said it is logical for Intel to raise capital given its capital-intensive business and past damage to its balance sheet from prioritizing buybacks—$82 billion in the 2010s—and especially after the stock has quintupled since last August.
- Surging demand for CPUs driven by AI agents pushed Intel to raise its 2024 capex forecast from $18 billion to $20 billion in July, and the company has committed to high-volume production of its 14A process in 2028 after previously warning the technology could be shelved without a major external customer.
- Intel’s foundry business has landed Tesla (TSLA) as a 14A customer and hopes for another high‑profile client rose after U.S. President Donald Trump said Apple (AAPL) would make processors with Intel—though neither company has confirmed this.
- Last month Intel announced a €5 billion ($5.77 billion) investment to upgrade and expand chip manufacturing in Ireland — a project that accounts for more than 25% of its planned 2026 capital spending.
Analyst View:
Dan Niles, founder of Niles Investment Management, rejected the bearish view, saying the equity raise suggests Intel is "close to signing up one or more major foundry customers" and needs significant capital to scale capacity. He added the offering strengthens his belief that Intel is on track to become "super successful."
Niles identified three overlapping value drivers for Intel: a higher CPU-to-GPU mix in agentic AI workloads, advanced packaging, and its position as the U.S. national foundry champion—an economically and geopolitically significant role as Washington backs domestic semiconductor capacity. He noted Intel’s first publicly named foundry customer under CEO Lip-Bu Tan was Fortinet on the older Intel 4 node, so landing a large-scale 14A customer would be a qualitatively different milestone.
INTC Outpaces its semiconductor peers:
Intel’s stock has nearly tripled year-to-date, outperforming rivals AMD & Nvidia and the Philadelphia Semiconductor Index’s roughly 75% gain- fueled by renewed optimism about its turnaround plan to reclaim chipmaking leadership.
